MI. CONTENT STUDIO TERMS & CONDITIONS OF SERVICE
At MI. Content Studio, every piece of content we craft is an extension of your story, memories and business’ identity. These Terms & Conditions outline the shared expectations that safeguard your vision, protect our creative space, and ensure a seamless collaboration built on trust and clarity.
We create with presence and precision. Clear boundaries ensure the process runs smoothly and honour the artistry behind every frame.
Definitions:
“The Studio” refers to MI. Content Studio, a New Zealand-based creative content partner delivering bespoke content creation services.
“The Client” refers to the individual or entity who engages and contracts the Studio’s services for the provision of content creation, including but not limited to weddings and events.
Client & Engagement Types
Engagements fall into two categories under these Terms: (i) Personal Engagements, being weddings, personal events, and bookings for personal or domestic use; and (ii) Commercial Engagements, being brand, business, government, and organisational bookings where content is acquired in trade. Where a clause applies differently to each category, this is specified below.
Service Definition
MI. Content Studio provides short-form digital content creation captured on iPhone, intended for social media and online marketing platforms.
Services are focused on short-form visual content and do not include professional photography, videography, cinematography, or audio production unless expressly agreed in writing prior to the commencement of services.
Any long-form content and photography provided is outside MI. Content Studio’s standard service offering and is subject to separate limitations and exclusions as outlined in these Terms and Conditions. Long form and short form content is offered as best-effort.
Engagement & Booking
A booking is confirmed only upon receipt of the required deposit from The Client. The Studio reserves the right to accept or decline bookings at its discretion. Until confirmation is received, the requested date remains available to other parties.
Deposit & Payment Terms
A 40% non-refundable deposit is required to secure The Client's date. This deposit covers the administrative preparation, planning, and pre-production time invested prior to the event and confirms The Client's booking.
The remaining 60% balance, along with any confirmed add-ons, is due no later than 14 days prior to the event date. Late or incomplete payment may result in the cancellation or postponement of services and incur a 20% cancellation fee based on the total session value.
If The Client requests additional time on the day beyond the agreed coverage, this will be invoiced post-event and must be paid in full prior to the delivery of any content.
All refunds, where applicable, will be processed to the original bank account only. No cash refunds will be issued. Any alternative arrangements or exceptions must be agreed to in writing by both parties.
Ad hoc sessions require 100% payment to confirm the booking.
Prebooked content sessions and quarterly packages must be paid in full before the first session.
Scope of Services
Services are provided based on The Client’s selected package and any agreed-upon additions. Any changes to the scope must be confirmed in writing before the event.
Content Delivery
The Client’s unedited content will be delivered within 48 hours of the event via a secure file-sharing platform such as Dropbox.
If The Client’s package includes any edited content (such as reels or curated highlight edits), this will be delivered within 5-7 business days, unless otherwise agreed in writing.
Usage Rights & Copyright
The Studio retains full copyright and moral rights in all content produced, in accordance with the Copyright Act 1994 (NZ). Providing content to The Client grants a licence to use it as set out below; it does not transfer copyright or ownership. The Studio may use all content for its own promotional, marketing, and portfolio purposes across any platform, unless otherwise agreed with The Client in writing.
For Weddings, Events & Personal Bookings
The Client is granted a non-exclusive, royalty-free, perpetual licence to use the provided content for personal purposes. Credit to MI. Content Studio is always appreciated but not required.
For Brand, Commercial, Government & Organisational Clients
Organic use of content on The Client's own channels is included within the production fee (the package price agreed upon for the engagement). Any commercial use beyond this, including paid promotion, advertising, boosted posts, media distribution, or use by external or third-party channels, is licensed separately as an additional Usage & Licensing Fee, calculated as follows:
Organic Use: posting to The Client's own owned channels only (unpaid, non-boosted, no external distribution): included in the production fee.
Full Usage: paid/boosted social, advertising, media distribution, and third-party or external placement for 12 months from the delivery date: an additional 50% of the production fee.
Renewal: extends full usage rights for a further 12 months: 50% of the original production fee, payable prior to expiry of the current term.
Perpetual Use: unlimited, indefinite use of the content with no renewal required: a one-off buyout of 2x the production fee.
Full terms for brand/commercial engagements are set out in a separate written Usage & Licensing Agreement provided prior to the commencement of services. Use of content outside the agreed licence tier including paid amplification, media distribution, or use beyond the licensed term without renewal, requires The Studio's prior written approval and payment of the applicable additional fee, and may otherwise constitute a breach of this licence and infringement under the Copyright Act 1994.
For All Clients
The Client agrees not to use the content in any way that is defamatory, misleading, or damaging to the reputation of MI. Content Studio, or in contexts that misrepresent the spirit of the original work. The Studio reserves the right to revoke content usage rights if breached.
The Client may not sub-license, resell, or provide the content to third parties for their own independent commercial use without The Studio's written consent.
Content may not be materially altered, filtered, or repurposed by The Client or third parties without The Studio's written consent (see also "Content Usage by Third Parties" below).
Digital Storage & Audio Liability
The Studio will store The Client’s content securely for 12 months from the event date. After that, it may be permanently deleted. The Client will be notified before this occurs and encouraged to back up the files.
Once content is delivered to The Client, MI. Content Studio is not liable or responsible for file loss, corruption, or damage.
The Studio does not guarantee the quality, clarity, continuity, or availability of audio recorded as part of any short- form or long-form content services. The Client acknowledges that audio recording is subject to variables beyond MI. Content Studio’s reasonable control, including but not limited to environmental conditions, venue acoustics, interference, third-party systems, equipment limitations, or technical malfunction.
Where audio is lost, corrupted, or is not of an acceptable standard, MI. Content Studio will, where reasonably practicable, provide a reasonable alternative solution at its discretion. This may include visual-only edits, subtitles, captions, shortened content, or other substitute deliverables. This will not automatically entitle the Client to a refund, reshoot, or compensation.
Audio capture, recording, or delivery is not included as part of MI. Content Studio’s short-form content creation services, unless expressly agreed in writing prior to the commencement of services.
Creative Control
By booking MI. Content Studio, The Client acknowledges The Studio’s creative style and trusts in The Studio’s artistic direction. While MI. Content Studio welcomes your vision, final editing and curation remain at The Studio’s discretion.
Variations in artistic interpretation shall not constitute grounds for cancellation, refund, or dispute.
Cancellations & Rescheduling
All cancellations must be submitted in writing. The 40% deposit is strictly non-refundable under any circumstances.
If The Client cancels after full payment has been made, a partial refund may be considered at The Studio’s sole discretion, factoring in time, preparation, and work already undertaken.
Cancellations made within 30 days of the confirmed event date will not be eligible for any refund.
Rescheduling requests must be made in writing and are subject to The Studio’s availability. Where possible, the original deposit may be transferred to a new date within six months of the original booking. Dates are not guaranteed until confirmed in writing by The Studio.
In the unlikely event that The Studio is unable to attend the confirmed event or session due to illness, injury, emergency, or circumstances beyond reasonable control, The Studio reserves the right to appoint a trusted substitute content creator to fulfill the booking. Any substitute will be professionally qualified and briefed to deliver the service in line with The Studio’s standards and style. If a suitable substitute cannot be secured, The Studio’s liability will be limited to a full refund of all payments made by The Client in relation to the affected services. The Studio shall not be responsible for any further costs, damages, or losses incurred.
Force Majeure
The Studio shall not be liable for failure to perform its obligations where such failure is caused by events beyond reasonable control, including but not limited to illness, accident, extreme weather, transport disruption, venue restrictions, equipment failure, government restrictions, or other unforeseen circumstances.
In such cases The Studio will make reasonable efforts to fulfill the booking or provide an alternative solution where possible.
Conduct & Safety
The Studio reserves the right to withdraw services, without refund, in any environment deemed unsafe, disrespectful, or harmful including abuse, harassment, or physical danger.
Limitation of Liability
To the extent allowed under New Zealand law, The Studio’s liability is limited to the total amount paid by The Client. MI. Content Studio is not liable for any indirect, incidental, or consequential damages arising from Client’s use of content.
Governing Law
These Terms & Conditions are governed by the laws of New Zealand. Any disputes will be handled under the exclusive jurisdiction of New Zealand courts.
Consumer Guarantees Act 1993
For Personal Engagements, nothing in this agreement alters your rights under the Consumer Guarantees Act 1993, and those guarantees apply in full.
For Commercial Engagements, where services are supplied and acquired in trade, the parties agree that the Consumer Guarantees Act 1993 does not apply, to the extent permitted under section 43 of that Act. This does not affect any rights under the Fair Trading Act 1986, which cannot be excluded.
Client Responsibility & Consent
It is The Client’s responsibility to ensure that necessary permissions have been obtained from venues, vendors, or individuals to be filmed or photographed. MI. Content Studio will assume these permissions have been granted unless otherwise notified in writing.
The Client indemnifies MI. against any claims, damages, or costs arising from unauthorized use of persons’ images, or any breach of this clause.
Client-Supplied Materials
Where The Client supplies logos, branding, products, trademarks, or other materials for use in content production, The Client warrants that it holds all necessary rights and permissions to supply and use these materials. The Client indemnifies The Studio against any claims, damages, or costs arising from The Studio's use of Client-supplied materials in accordance with the brief.
Content Usage by Third Parties
Content created by MI. Content Studio may not be edited, filtered, or repurposed by third parties (including vendors or media outlets) without written consent. This ensures your video and image assets are represented authentically and in line with The Studio’s creative standards.
Confidentiality
For Commercial Engagements, The Studio agrees to keep confidential any non-public information, materials, or campaign details shared by The Client in connection with the engagement, and will not disclose these to third parties without The Client's consent, except as required to deliver the agreed services or as required by law. This does not restrict The Studio's usage and portfolio rights as set out in the Usage Rights & Copyright section.
Client Feedback Window
Any concerns or revision requests must be submitted within 7 days of content delivery. After this period, the content is considered final and approved.
Event Day Conditions
MI. Content Studio is not responsible for limitations caused by weather, venue rules, or environmental conditions that impact content coverage or quality.
The Studio will make reasonable efforts to capture the event as agreed. However, The Studio cannot guarantee specific images, moments, or outcomes where circumstances are beyond its control, including restricted access, venue limitations, schedule delays, lighting conditions, guest interference, or direction from event organisers.
The Client acknowledges that the quality and quantity of content may be affected by such factors.
The Client also acknowledges that event schedules are subject to change. The Studio will make reasonable efforts to adapt to minor timing adjustments on the day where possible; however, coverage is limited to the hours outlined in the confirmed booking. If the event runs beyond the agreed coverage time, additional coverage may be provided at The Studio’s discretion and will be charged at the applicable hourly rate.
Talent & Model Fees
Where talent or models are sourced or arranged by The Studio, an additional talent fee will apply to honour their time and involvement. This fee will be discussed, agreed upon, and approved by The Client prior to commencement of any services.
Right to Refuse Service & Early Termination
The Studio is committed to an atmosphere of mutual respect and professionalism. If the Client’s behaviour compromises this,The Studio may terminate the agreement immediately.
If termination occurs before any work has been performed, the Client will receive a refund minus any non-refundable administration fees.
If partial work has been completed, the Client will receive a refund proportionate to services not yet delivered, minus any non-refundable administration fees.
The Studio reserves the right to decline future engagements if values or conduct are not aligned.
By paying your non-refundable deposit, you are confirming your booking and agreeing to these Terms & Conditions in full.
