TERMS AND CONDITIONS OF SOCIAL MEDIA SERVICES
At MI. Content Studio, every piece of content we craft is an extension of your brand’s story. These Terms & Conditions lay out the shared promises that safeguard your vision, protect our creative space, and ensure a seamless collaboration built on trust and clarity.
We create with presence and precision, but clear boundaries keep the process smooth and honour the artistry behind every frame.
“The Studio” refers to MI. Content Studio, a New Zealand-based creative content partner delivering bespoke content creation and social media management services. “The Client” is the brand, business, or individual engaging the Studio’s expertise for the creation and management of visual and digital content.
1. Scope of Services
The Studio provides ongoing content creation, strategy, and social media management as outlined in the Client’s selected service package. This may include but is not limited to: onsite content capture, caption writing, scheduling, analytics reporting, community engagement, and content planning.
2. Service Term & Continuity
All services are billed monthly. Work begins once the Studio has received the Client’s first payment. A minimum three-month commitment is encouraged to see measurable results. Services will continue on a month-to-month basis unless otherwise agreed in writing.
3. Payment Terms
The Studio will issue an invoice prior to each monthly cycle. Payment is due within 14 days of receipt. Work will not commence or continue if payment is outstanding.
Late payments may incur a 5% administration fee.
Ad hoc sessions (e.g. content creation packages) require 100% payment to confirm the Client’s booking.
Monthly packages require payment in full before the 1st of each month.
4. Cancellations & Pauses
If the Client wishes to pause or end services, the Studio requires 30 days’ written notice. Any content produced during this notice period will be billed accordingly. Partial month pauses do not qualify for refunds or credit.
5. Revisions & Approvals
The Client will be given opportunities to review content prior to publishing. One round of revisions per content item is included. Additional edits outside this scope will be billed at the Studio’s current hourly rate.
The Client must review and respond to content drafts within 3 business days. If no feedback is received within this timeframe, content will be considered approved and scheduled as planned.
6. Client Responsibilities
To ensure a smooth and strategic process, the Client agrees to:
Provide access to relevant social media accounts, brand assets, and scheduling platforms
Submit timely updates, content ideas, offers, and approvals
Communicate clearly around brand goals, tone of voice, and visual preferences
Honour deadlines for review/feedback to avoid delays in posting schedules
7. Use of Content
The Studio retains the right to share any content created for promotional purposes, including portfolio, social media, website, and brand marketing even after services conclude.
The Client retains full rights to use the content across owned platforms and marketing materials. Redistribution or resale of the content by third parties requires written consent.
Content may not be altered, repurposed, or used in a way that misrepresents the Client’s brand, the Studio’s work, or harms the reputation of either party. This includes use out of context, defamatory messaging, or association with non-aligned campaigns. The Studio reserves the right to revoke content usage rights if breached.
8. Confidentiality
Any proprietary or sensitive business information shared by the Client during the engagement will be treated with strict confidentiality. The Studio’s trust is paramount, and mutual respect and professionalism are expected in return.
9. Performance Disclaimer
While the Studio aims to deliver strategic, consistent, and high-quality content, it does not guarantee specific outcomes such as increased reach, engagement, followers, website traffic, or conversions.
Performance is influenced by many external factors, including platform algorithm changes, ad spend, audience behaviour, and the Client’s broader marketing activity. By entering this agreement, the Client acknowledges that social media is a long-term brand asset—not a short-term guarantee.
10. File Storage & Retention
The Studio will securely store all final content for a period of 12 months from delivery. The Client is expected to download and store all files safely. The Studio will send reminders before files are permanently deleted.
11. Limitation of Liability
In the event of unforeseen circumstances beyond the Studio’s control (including data loss, illness, natural disaster, or platform disruptions), the Studio’s liability is strictly limited to the total amount paid for the specific service or billing period. The Studio is not liable for any consequential loss or damages beyond the scope of agreed services.
12. Consumer Guarantees Act
Where services are supplied for business purposes, as defined by the Consumer Guarantees Act 1993, the guarantees under the Act do not apply. By engaging the Studio, the Client confirms these services are acquired for business purposes and agrees to this exclusion.
13. Privacy & Data Use
The Studio complies with the Privacy Act 2020. Any personal information collected in the course of work (such as login details, email addresses, or client imagery) will be used solely to deliver the agreed services and will not be shared with third parties without consent. All data is stored securely and handled with care.
14. Acceptance of Terms
By proceeding with payment, the Client confirms that they have read, understood, and agreed to these Terms & Conditions. This agreement becomes binding upon payment.
