TERMS AND CONDITIONS OF BUSINESS CONTENT SERVICES

At MI. Content Studio, every piece of content we craft is an extension of your brand’s identity. These Terms & Conditions outline the shared expectations that safeguard your vision, protect our creative space, and ensure a seamless collaboration built on trust and clarity.

We create with presence and precision. Clear boundaries ensure the process runs smoothly and honour the artistry behind every frame.

Definitions:

  • “The Studio” refers to MI. Content Studio, a New Zealand-based creative content partner delivering bespoke content creation services.

  • “The Client” is the brand, business, or individual engaging the Studio for the creation of visual content.

1. Scope of Services

The Studio provides content creation services as outlined in the Client’s selected package. Services may include, but are not limited to, onsite content capture, photography, videography, and delivery of edited content for the Client’s use.

2. Service Term & Continuity

All services are billed monthly, ad hoc, or as part of quarterly (3-month) packages, depending on the Client’s chosen package. Work begins once the Studio has received the Client’s first payment. Services continue on a month-to-month or prebooked cycle unless otherwise agreed in writing.

3. Payment Terms

  • The Studio will issue an invoice prior to each payment cycle. Payment is due within 14 days of receipt. Work will not commence or continue if payment is outstanding.

  • Late payments may incur a 5% administration fee.

  • Ad hoc sessions require 100% payment to confirm the booking.

  • Prebooked content sessions and quarterly packages must be paid in full before the first session.

4. Cancellations & Pauses

  • If the Client wishes to pause or end services, the Studio requires 30 days’ written notice.

  • Any content produced during the notice period will be billed accordingly.

  • Partial month pauses do not qualify for refunds or credit.

5. Revisions & Approvals

  • The Client will be given opportunities to review content prior to delivery. One round of revisions per content item is included. Additional edits outside this scope will be billed at the Studio’s current hourly rate.

  • The Client must review and respond to content drafts within 3 business days. If no feedback is received, content will be considered approved and delivered as planned.

6. Client Responsibilities

To ensure a smooth and strategic process, the Client agrees to:

  • Schedule all content sessions and clearly communicate when and where sessions are required.

  • Provide a defined content strategy, brief, or direction to enable the Studio to deliver at the highest standard.

  • Submit timely updates, materials, and approvals. Any content required for the scope of work must be supplied in a timely manner by the Client. The Studio will not chase content or other necessary inputs. The Client takes full responsibility for supplying required materials, and MI. Content Studio is not liable for any work that cannot be completed due to a lack of content.

  • Ensure any imagery, video, or written assets provided are of a professional standard. The Studio will advise if supplied materials may limit content quality or effectiveness.

  • Obtain all necessary consents or releases for individuals appearing in content, and indemnify the Studio against claims arising from the use of such content.

7. Use of Content

  • The Studio retains the right to share any content created for promotional purposes, including portfolio, social media, website, and marketing, even after services conclude.

  • The Client retains full rights to use the content across owned platforms and marketing materials. Redistribution or resale by third parties requires written consent.

  • Content may not be altered, repurposed, or used in a way that misrepresents the Client’s brand, the Studio’s work, or harms the reputation of either party. The Studio reserves the right to revoke content usage rights if breached.

  • The Studio retains ownership of all raw footage, project files, and unedited materials. The Client is granted usage rights for final delivered content only. Any external use of Studio materials must be approved in writing.

8. Confidentiality

Any proprietary or sensitive business information shared by the Client will be treated with strict confidentiality. Mutual respect and professionalism are expected in return.

9. Performance Disclaimer

While the Studio aims to deliver high-quality content, it does not guarantee specific outcomes such as reach, engagement, or conversions. Performance is influenced by factors outside the Studio’s control.

Where the Client provides their own assets, the Studio cannot guarantee quality or performance but will always work to deliver content to the highest standard within supplied limitations.

10. File Storage & Retention

The Studio will securely store all final content for 12 months from delivery. The Client is responsible for downloading and storing files safely. The Studio will send reminders before files are permanently deleted.

11. Limitation of Liability

In the event of unforeseen circumstances beyond the Studio’s control (including data loss, illness, natural disaster, or platform disruptions), the Studio’s liability is strictly limited to the total amount paid for the specific service or session.

12. Force Majeure

The Studio shall not be liable for any failure or delay in performing services due to circumstances beyond its reasonable control, including but not limited to natural disasters, illness, travel restrictions, or equipment failure. Where possible, the Studio will work with the Client to reschedule sessions.

13. Consumer Guarantees Act

Where services are supplied for business purposes, the guarantees under the Consumer Guarantees Act 1993 do not apply. The Client confirms these services are acquired for business purposes and agrees to this exclusion.

14. Right to Refuse Service & Early Termination

The Studio is committed to an atmosphere of mutual respect and professionalism. If the Client’s behaviour compromises this, the Studio may terminate the agreement immediately.

  • If termination occurs before any work has been performed, the Client will receive a refund minus any non-refundable administration fees.

  • If partial work has been completed, the Client will receive a refund proportionate to services not yet delivered, minus any non-refundable administration fees.

  • The Studio reserves the right to decline future engagements if values or conduct are not aligned.

  • The Client indemnifies the Studio against any claims, damages, or losses arising from Client-supplied content, instructions, or use of delivered content outside agreed terms.

15. Quarterly Content Subscription & Prebooked Sessions

15.1 Booking & Payment
Quarterly content creation subscriptions (3-month cycles) must be booked and paid in advance. Payment secures the content package and confirms the arrangement of sessions for the quarter.

15.2 Session Scheduling & Client Responsibility
All content sessions are scheduled and managed by the Client. The Client must clearly communicate when and where sessions are required and provide a defined content strategy or brief to enable the Studio to deliver at the highest standard. The first session of the quarter should be arranged at least two weeks in advance.

15.3 Cancellations & Postponements

  • Postponements may be discussed, subject to the Studio’s availability.

  • Cancellations within 24 hours of a scheduled session incur a 20% cancellation fee of the session value.

  • Prebooked content sessions incur a non-refundable administration fee of 20% of the package’s net value, retained if the package is cancelled prior to any work being performed.

15.4 Session Use & Rollover

  • Content sessions must be used within the allocated month. Unused sessions do not roll over, and payments for that month remain with MI. Content Studio.

  • The Studio is not responsible for rescheduling unused sessions outside the allocated timeframe unless agreed in writing.

15.5 Refunds

  • Refunds are only available for services not yet performed, excluding the non-refundable administration fee.

  • Once a session has commenced, no refunds are available for that portion of the package.

16. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

17. Acceptance of Terms

By proceeding with payment, the Client confirms they have read, understood, and agreed to these Terms & Conditions. This agreement becomes binding upon payment.
